1. Controller Identification

The website www.kiuwo.com and the application Kiuwo are owned by:

2. Definitions

  • Platform / Service / Kiuwo: the set of features provided by Kiuwo via web/app (creation and management of mind maps, multimedia content, AI tools, sharing, workspace, etc.).
  • Account: personal or business profile to access the Service.
  • User: anyone who accesses or uses Kiuwo, free or paid. Distinction: Consumer User (non-professional use) and Professional User (use in business/profession).
  • Content: any data, file, text, audio, video, mind map or material uploaded, created, or generated by the User through Kiuwo (including metadata).
  • AI Content: content generated in whole or in part through AI features integrated in Kiuwo or via technology partners.
  • Public Library: section or sharing mode where Content can be made public (with prior consent and in compliance with the law).
  • Subscriptions / Plans: pricing plans (free or paid) with limits/quotas (e.g., tokens, credits, storage) and related features.
  • Tokens/Credits: functional consumption units tied to operations (e.g., AI generations, transcriptions, processing).
  • Technology Partners: third-party providers (e.g., Stripe, AI providers, hosting, analytics, storage) used to deliver parts of the Service.

3. Scope and acceptance

3.1. These Terms govern access to and use of Kiuwo. Creating an Account or using the Service constitutes full acceptance of the Terms and the Privacy Policy.

3.2. Where special conditions apply (e.g., Enterprise, Beta, Educational Programs, Promotions), they supplement these Terms.

3.3. In case of conflict, the special conditions accepted by the User prevail (e.g., Enterprise agreement).


4. Age requirements and Account registration

4.1. Users who are at least 16 years old may register (or another minimum age as per local law; in Italy 14). Users under the applicable threshold may use Kiuwo only with parental/guardian consent, collected and stored as required.

4.2. The User warrants the truthfulness, completeness, and updating of data provided.

4.3. The User is responsible for safeguarding credentials and for all activities carried out through their Account. The User must promptly inform Kiuwo in case of unauthorized access.

4.4. Kiuwo adopts reasonable technical and organizational measures for Account security but is not liable for damages resulting from negligent or fraudulent use of credentials by the User.


5. Services, Plans, and Permitted use

5.1. Free plan: essential features with limits (e.g., tokens, storage, features).

5.2. Paid plans: monthly/annual subscriptions with advanced features, higher quotas, priority support, etc.

5.3. Permitted use: the User undertakes to use Kiuwo in compliance with the law, third-party rights, and these Terms. It is forbidden to use Kiuwo for unlawful, offensive, discriminatory purposes, infringing third-party rights, or violating intellectual property, privacy, and trade secrets.

5.4. Scraping, reverse engineering, automated access: massive crawling/scraping, bypassing technical measures, reverse engineering, unauthorized public benchmarking, use of unapproved bots, excessive impact on resources (DoS), security breaches are prohibited. Kiuwo may apply rate limiting, CAPTCHA, and anti-bot measures.

5.5. Beta/Preview: “beta” or “labs” features are provided “as is”, and may change or be discontinued without notice.

5.6. Educational/DSA compliance: Kiuwo promotes accessibility and usability (also for students with SLD/DSA) but does not guarantee specific learning outcomes; the User remains responsible for content usage.


6. Subscriptions, Payments, Billing

6.1. Payments are processed via Stripe (or equivalent PSPs). Accepted methods, prices, and applicable taxes are indicated in the app/website.

6.2. Subscriptions are personal and non-transferable; they may renew automatically until cancellation.

6.3. Billing: invoices/receipts are issued electronically and sent to the Account email, and made available in the reserved area where applicable.

6.4. Price changes: Kiuwo may change prices and/or plan contents with reasonable notice; changes apply to the next renewal.

6.5. Non-payment: Kiuwo may suspend or limit the Service until regularization and/or terminate in case of repeated defaults.

6.6. Refunds: no refunds are provided, except as set out for Consumers in Art. 13 (withdrawal) and mandatory laws.

6.7. Discount codes/credits: not convertible into cash, not combinable unless otherwise stated, subject to expiry/usage conditions.


7. Tokens/Credits and usage limits

7.1. Certain features (e.g., AI generations, audio transcriptions) consume tokens/credits. Consumption is deducted according to published price lists or logic.

7.2. Tokens/credits included in the plan expire at the end of the reference period and are non-refundable.

7.3. Fair use: Kiuwo may apply limits to ensure Service stability and quality (e.g., requests/minute, file size, audio duration, storage).


8. User Content and responsibility

8.1. The User retains all rights to their Content.

8.2. Privacy by default: maps and Content are private by default; sharing occurs only upon explicit User action (link, collaborators, publication in the Public Library where active).

8.3. The User declares they have the necessary rights to upload/create Content and guarantees it does not violate third-party rights or applicable laws (copyright, personal data, trade secrets, trademarks).

8.4. The User is solely responsible for Content and holds Kiuwo harmless from third-party claims due to User violations.

8.5. Prohibited content: illegal, defamatory, obscene, child sexual abuse material, violent, discriminatory/racist/hate content, malware, instructions for dangerous/illegal activities, or Content including third-party personal data without a valid legal basis are prohibited.

8.6. Takedown: Kiuwo may remove or disable access to Content deemed illegal or in violation of the Terms, upon report or at its discretion, without compensation. A reporting/dispute channel is available (dev@meaworld.com).


9. AI-generated Content

9.1. Kiuwo provides AI tools to facilitate creation/organization of Content.

9.2. User responsibility: AI Content may contain errors, bias, or inaccuracies; the User must verify accuracy and lawfulness before use.

9.3. Usage limits: unless otherwise agreed in writing, AI Content is for the User’s personal/educational/internal business use and not for resale, mass redistribution, or marketplace publication, nor to claim sole authorship.

9.4. Kiuwo may remove AI Content in violation of law or the Terms.

9.5. AI models and partners: AI processes may involve third-party providers (e.g., LLMs, transcription). See the Privacy Policy and/or product documentation for details.


10. Public Library (opt-in) and licenses

10.1. Kiuwo may offer a Public Library: publication of selected Content only upon the User’s explicit choice/consent (opt-in).

10.2. The User may withdraw publication from the Library at any time for Content still attributable to their identity, via function or request to dev@meaworld.com.

10.3. By publishing in the Library, the User grants Kiuwo a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use/reproduce/publicly communicate the Content in the Library and for purposes related to Service delivery/promotion.

10.4. If Content is anonymized/aggregated and no longer attributable to a data subject, the license for such anonymized data becomes irrevocable within the limits of the law.

10.5. Kiuwo may award badges/prizes/credits to participating Users under separate rules.


11. License to the Platform and intellectual property

11.1. Kiuwo grants the User a limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with the Terms.

11.2. Software, trademarks, logos, graphics, databases and every original element of Kiuwo remain the exclusive property of Mea World S.r.l. and/or its licensors. Any unauthorized reproduction, reverse engineering, or massive data extraction is prohibited.

11.3. Use of data for service improvement: the User grants Mea World a non-exclusive, royalty-free license to use in anonymized and/or aggregated form Content and usage data to improve AI models and services (consistent with the Privacy Policy). No personal data will be used for such purposes without a valid legal basis.


12. Integrations and third-party services

12.1. Kiuwo may integrate third-party services (e.g., authentication, payment, hosting, AI, analytics). Use of such integrations may be subject to third-party terms.

12.2. Kiuwo is not liable for malfunctions attributable to third-party services not directly controlled.

12.3. Links to external accounts (e.g., Google) can be revoked by the User; this may limit features dependent on such integrations.


13. Right of withdrawal (EU Consumer) and cancellation

13.1. Withdrawal: under Arts. 52-59 of the Italian Consumer Code and EU law, the Consumer has 14 days to withdraw from the purchase of subscriptions/credits, provided that the User has not already started to enjoy the digital content/service.

13.2. Where the User requests immediate performance (e.g., use of tokens/premium features), the User agrees to lose the right of withdrawal (Art. 59, para. 1, lett. o) Consumer Code).

13.3. How: to exercise withdrawal, the User may use the EU standard form or write to dev@meaworld.com within 14 days. Kiuwo will refund amounts due within 14 days of the notice, using the same payment method where possible.

13.4. Account cancellation: the User may close the Account at any time; non-public Content will be deleted within the technical times indicated in the Privacy Policy. Amounts already paid for current periods are not refunded unless required by mandatory law.


14.1. For digital services, Arts. 128 et seq. of the Consumer Code apply.

14.2. In case of lack of conformity, the Consumer may request restoration of conformity, price reduction, or termination, per applicable law.

14.3. Duration:

  • one-off digital supplies: 2 years from provision;

  • services provided continuously: for the entire subscription term.

    14.4. The above safeguards do not apply to Professional Users.


15. Support, maintenance, availability

15.1. “As is” availability: Kiuwo is provided “as is”, with no guarantee of continuous availability or error-free operation.

15.2. Maintenance/updates: Kiuwo may schedule maintenance windows (preferably low-impact) and intervene for security emergencies.

15.3. SLA: no SLAs are guaranteed, unless under specific Enterprise agreements.

15.4. Support: email channel dev@meaworld.com; response times vary by plan (priority for premium/enterprise).


16. Suspension and termination for violations

16.1. Kiuwo may suspend/limit/terminate the Account in cases of: breach of the Terms/law; security risk; non-payment; abuse; authority requests.

16.2. In case of termination for violations, no refunds are due for unused periods.


17. Reports, notice & takedown, complaints

17.1. To report violations (copyright, trademarks, privacy, hate speech, security) or submit complaints: mea.pec@legalmail.it or dev@meaworld.com with description, URL/screenshots, proof of rights, and contacts.

17.2. Kiuwo will assess reports and, where appropriate, proceed with takedown or countermeasures, informing the parties when possible.


18. Liability limitations

18.1. To the maximum extent permitted by law, Kiuwo/Mea World shall not be liable for indirect, special, consequential damages, or loss of profits/data/opportunities arising from the use or inability to use the Service, except for willful misconduct or gross negligence.

18.2. The User acknowledges that AI-generated content may be inaccurate or unsuitable for the context: the User remains responsible.

18.3. In any case, Kiuwo’s overall liability to the User shall not exceed the amount paid by the User in the 12 months preceding the harmful event (not applicable in case of consumer damages due to willful misconduct/gross negligence and other mandatory cases).


19. Personal data protection

19.1. Personal data are processed in accordance with Kiuwo’s Privacy Policy (GDPR-compliant), which is part of these Terms.

19.2. Kiuwo does not publish sensitive personal data without valid consent and adopts measures to exclude such data from the Public Library.

19.3. Data subject rights: access, rectification, erasure, restriction, portability, objection, as described in the Privacy Policy.


20. Force majeure

20.1. Kiuwo is not liable for failure to perform due to force majeure or events beyond reasonable control (e.g., natural events, war, government acts, internet outages, cloud/provider failures).


21. Assignment

21.1. Kiuwo may assign this agreement to group companies or third parties in case of extraordinary transactions (merger, sale, etc.), informing the User.

21.2. The User may not assign or transfer this agreement without Kiuwo’s written consent.


22. Changes to the Terms

22.1. Kiuwo may change the Terms with reasonable notice (typically 15 days for material changes) via email or in-platform notice.

22.2. Continued use after the effective date of changes constitutes acceptance of the new Terms. For changes concerning data processing, see the Privacy Policy.


23. Out-of-court dispute resolution – ADR/ODR (EU Consumers)

23.1. In case of unresolved complaints, Kiuwo will provide information on competent ADR bodies and willingness to participate in out-of-court procedures.

23.2. The EU ODR platform is available at: http://ec.europa.eu/consumers/odr

Without prejudice to the right to bring the matter before the competent court.


24. Governing law and jurisdiction

24.1. These Terms are governed by Italian law and, where applicable, EU law.

24.2. Consumers: court of the Consumer’s place of residence/domicile.

24.3. Professionals: exclusive jurisdiction of Florence (Italy).


25. Final clauses

25.1. Interpretation: article headings are descriptive and do not limit clause interpretation.

25.2. Severability: the nullity/ineffectiveness of any clause does not affect the validity of the others.

25.3. No waiver: failure to exercise a right does not constitute a waiver.

25.4. Language versions: in case of discrepancies, the Italian version prevails.

25.5. Entire agreement: the Terms, the Privacy Policy, and any specific agreements constitute the entire agreement between the parties with respect to the subject matter.
