These Terms govern the use of the Kiuwo platform, provided by Mea World S.r.l., headquartered at Via Niccolò Machiavelli 24, 51100 Pistoia (PT), Italy, VAT/Tax Code 02069030472 (“Controller”).
Using the Service implies full acceptance of these Terms and the Privacy Policy.
1. Essential Definitions
- Platform / Service / Kiuwo: all functionalities accessible via web/app, including map creation, AI tools, workspaces, and sharing.
- Account: personal or business profile through which the User accesses the Service.
- User: individual or legal entity using Kiuwo, free or paid.
- Content: any material uploaded, generated, or shared through Kiuwo (texts, maps, files, metadata).
- AI Content: content generated, in whole or in part, through integrated AI features or third-party providers.
- Tokens/Credits: usage units associated with operations such as AI generations.
- Technology Partners: third parties (e.g., Stripe, AI providers, hosting) used for delivering the Service.
2. Purpose of the Service
Kiuwo provides tools to organize information, create mind maps, generate AI content, and collaborate within workspaces.
Features may be updated or modified for technical reasons or product improvement.
3. Age Requirements and Account Registration
3.1. Use by minors under 18 is permitted, where applicable by law, with parental or guardian consent.
Kiuwo does not verify the declared age but may request confirmation when required by law.
3.2. Users guarantee that provided data is accurate and up-to-date.
3.3. Users are responsible for safeguarding their credentials and all activities under their Account.
3.4. Kiuwo applies adequate security measures but is not responsible for misuse caused by User negligence.
4. Plans, Pricing and Payments
4.1. Kiuwo may offer a free plan with limits and paid plans with advanced features.
4.2. Payments are handled through third-party providers (e.g., Stripe), which act as independent data controllers.
4.3. Subscriptions may auto-renew until cancellation by the User.
4.4. Kiuwo may update prices or plan content with reasonable notice, applying changes at the next renewal.
4.5. Failed payments for premium plans may revert the User to a free plan with its limitations.
4.6. Refund policies follow applicable consumer laws and purchase-specific terms.
5. Tokens, Credits and Usage Limits
5.1. Certain features consume tokens/credits indicated in the platform.
5.2. Kiuwo uses a credit system (“tokens”) for AI-based features:
- each plan includes a monthly token allocation;
- tokens are spent for AI generations (maps, transcriptions, processing);
- unused tokens do not roll over;
- the full monthly allocation resets upon subscription renewal.
5.3. Kiuwo may enforce fair-use limits (requests/minute, storage, file size).
5.4. Token rules and consumption values may be updated with clear communication.
6. Permitted and Prohibited Use
6.1. Users must use Kiuwo lawfully and in accordance with these Terms.
6.2. Prohibited actions include:
- automated access, scraping, crawling, reverse engineering;
- bypassing security measures;
- excessive system load;
- illegal, defamatory, discriminatory, or IP-infringing activities;
- publishing malware or harmful content.
6.3. Kiuwo may apply rate limiting, anti-bot systems, suspensions, or account closures in case of violations.
7. User Content
7.1. Users retain all rights to their uploaded or generated Content.
7.2. Content is private by default; sharing occurs only through explicit User action.
7.3. Users guarantee they have the rights to use and share the Content.
7.4. Illegal, offensive, discriminatory, violent, or unlawfully obtained personal data of third parties is prohibited.
7.5. Kiuwo may remove or disable illegal or reported content.
7.6. Users indemnify the Controller against third-party claims arising from Content uploaded in violation of the Terms.
8. AI-Generated Content
8.1. AI Content may be inaccurate or unsuitable; Users are responsible for verifying it.
8.2. Unless otherwise agreed, AI Content is for personal or internal business use and cannot be resold or presented as exclusive/original works.
8.3. Kiuwo may remove AI Content violating laws or third-party rights.
8.4. AI features may involve the use of technology partners described in the Privacy Policy.
9. Public Library (opt-in)
9.1. The Public Library is optional; Content is published only if the User explicitly opts in.
9.2. Users may withdraw publication for Content still attributable to them.
9.3. Upon publishing, the User grants Kiuwo a non-exclusive, worldwide, royalty-free license for the Library and Service promotion.
9.4. For anonymized/aggregated content no longer attributable to the User, the license becomes irrevocable within legal limits.
10. Intellectual Property
10.1. All Platform elements (software, design, trademarks, interfaces) belong to the Controller or its licensors.
10.2. Unauthorized reproduction, modification, distribution, or reverse engineering is prohibited.
10.3. The Controller may use aggregated/anonymous data to improve the Service and AI models, as described in the Privacy Policy.
11. Third-Party Integrations
11.1. Kiuwo may integrate third-party services (authentication, payments, AI, hosting).
11.2. The Controller is not responsible for issues caused by services outside its control.
11.3. Revoking integrations may limit certain features.
12. Withdrawal and Cancellation (EU Consumers)
12.1. Consumers may withdraw within 14 days unless they explicitly waive it for immediate service activation.
12.2. If premium features or tokens are used within the 14 days, the right of withdrawal expires (Art. 59 Consumer Code).

12.4. Accounts may be deleted anytime; deletion of Content follows the Privacy Policy.
12.5. This section applies only to EU consumers.
13. Legal Guarantee (EU Consumers)
13.1. Arts. 128–135 of the Consumer Code apply to digital services.
13.2. Consumers may request conformity repair, price reduction, or contract termination.
13.3. Not applicable to professional/business users.
13.4. Only for EU consumers.
14. Availability, Maintenance and Support
14.1. Kiuwo is provided “as is,” without guaranteed continuous availability.
14.2. Routine or urgent security maintenance may occur.
14.3. SLAs apply only to Enterprise contracts.

15. Suspension and Termination
The Controller may suspend or terminate an Account due to:
- violation of Terms or law;
- security risks;
- payment issues;
- abusive or fraudulent activities.
No refund is due in case of termination for violation.
16. Reports, Complaints and Notice & Takedown

16.2. Kiuwo will assess reports and may remove content or take countermeasures.
16.3. Users may submit complaints through the same channels.
17. Limitation of Liability
17.1. To the fullest extent permitted by law, the Controller is not liable for indirect or consequential damages, lost profits, data loss, or opportunity loss.
17.2. Users are responsible for verifying AI Content.
17.3. Except for intentional misconduct or gross negligence, liability is capped at the amount paid in the 12 months preceding the claim.
18. Force Majeure
The Controller is not liable for failures caused by events beyond reasonable control (cloud outages, cyberattacks, natural events, power failures, authority actions).
19. Assignment
19.1. The Controller may transfer these Terms in case of corporate operations.
19.2. Users may not assign without written consent.
20. Changes to Terms
20.1. The Controller may modify the Terms with reasonable notice (typically 15 days for major changes).
20.2. Continued use constitutes acceptance.
21. Governing Law and Jurisdiction
- Exclusive jurisdiction: Pistoia, Italy
- Governed by Italian law and applicable EU law.
22. Final Clauses
- Section titles are descriptive only.
- Invalid clauses do not affect the remaining Terms.
- Non-enforcement is not a waiver.
- In case of discrepancies between translations, the Italian version prevails.
- These Terms, the Privacy Policy and any specific agreements form the entire agreement between the parties.
